    Nvidia Announces $12.93 Billion Acquisition of Hugging Face

    SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has reached an agreement to acquire Hugging Face in a deal valued at approximately $12.93 billion. The formal contract was signed on September 2, 2026. Nvidia will deliver roughly $11.9 billion to Hugging Face shareholders, subject to standard adjustments. Additionally, the deal includes potential equity-based retention awards worth up to about $1 billion for qualifying employees. Both companies anticipate the deal’s completion in the first half of 2027, pending necessary regulatory approvals.

    Hugging Face is known for its extensive platform supporting artificial intelligence models, datasets, software libraries, and developer tools. Nvidia reports that this platform has over 18 million users, including developers, researchers, and creators. It hosts more than 3 million models and approximately 500,000 datasets, providing access to over 1 million applications for AI development. More than 200,000 enterprises utilize Hugging Face’s services to discover, test, customize, and deploy AI solutions across various computing environments.

    Post-acquisition, both companies stated Hugging Face will continue to support multiple models, frameworks, cloud services, and hardware platforms. Developers will not be required to use Nvidia hardware to access the platform. The company will maintain support for open-source and open-weight models from various providers. Its services will stay compatible with diverse cloud providers and accelerator technologies. Nvidia also affirmed that the platform will support silicon vendors other than Nvidia, aligned with commitments linked to the deal.

    Commitments to Preserve Open AI Platform Standards

    Founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf, Hugging Face expanded its offerings to include model hosting, datasets, developer libraries, and cloud-based AI tools. The company reached a valuation of $4.5 billion during an August 2023 funding round, raising $235 million from tech investors. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects connecting developers with Nvidia’s computing infrastructure and software tools, demonstrating an existing partnership.

    On September 3, 2026, Nvidia filed a Form 8-K with the U.S. Securities and Exchange Commission to disclose the acquisition agreement. The filing confirms that the deal is still pending and has not yet closed. Finalization depends on regulatory approval and customary closing conditions. Nvidia also detailed operational commitments for Hugging Face following the deal, including ongoing access to models and datasets, multi-cloud support, and compatibility with hardware from other semiconductor manufacturers.

    Expected Closure in the First Half of 2027

    Nvidia already maintains a significant presence within the Hugging Face developer community. The company reports having published over 500 models and more than 250 open datasets on the platform. It also provides software libraries and development tools for AI projects. Hugging Face’s platform facilitates model discovery, evaluation, customization, and deployment, serving corporations, research institutions, and individual developers involved in machine learning, generative AI, and other AI applications.

    The $12.93 billion Nvidia purchase of Hugging Face remains subject to regulatory review until all closing conditions are satisfied. Nvidia anticipates the transaction will finalize during the first half of 2027. Under the announced commitments, Hugging Face will continue supporting developers across various models, cloud providers, frameworks, and hardware platforms. Its multi-cloud and multi-accelerator strategy will also stay intact. Until the deal’s completion, Nvidia and Hugging Face will operate as separate entities under the terms of the signed agreement.
